Effective Date: October 2, 2025
These Terms and Conditions of Sale (the “T&Cs”) govern all purchases made by the Client (referred to as “Client,” “Advertiser,” or “Sponsor”) from Modern Building Envelope LLC (“MBE,” “We,” or “Us”) for the placement of advertisements, sponsored content, press releases, and related media services (collectively, the “Services”) on the Modern Building Envelope platform, newsletter, and associated channels.
1.1. Acceptance: The purchase of any Service from MBE, including the submission of Insertion Orders (IOs), payment, or the provision of materials, signifies the Client’s acceptance of and agreement to these T&Cs in their entirety.
1.2. Conflict: These T&Cs supersede any differing or additional terms contained in any Insertion Order, purchase order, or other communication from the Client.
2.1. Types of Services: MBE offers the following primary services:
2.2. Pricing and Payment: All prices are outlined in the official MBE Media Kit or a custom proposal. Payments are due net 30 days from invoice unless otherwise specified.
2.3. Failure to Pay: If the Client fails to make payment, MBE may suspend Services, remove Client material, and charge interest at 1.5%/month or the maximum allowed by law.
2.4. Taxes: The Client is responsible for all applicable taxes and government charges.
3.1. Client Responsibility: The Client is solely responsible for providing all advertising, content, and press release materials (“Materials”) in the required formats by the deadlines.
3.2. Material Approval: MBE may reject or request modifications to Materials deemed unlawful, misleading, offensive, or contrary to MBE’s Core Values.
3.3. Changes: MBE is not responsible for errors in submitted Materials. Post-submission changes may incur charges.
3.4. “Sponsored” Tagging: All Sponsored Content and Press Releases will be clearly identified as such.
4.1. Client IP: The Client retains all IP rights in the provided Materials.
4.2. MBE License: Client grants MBE a non-exclusive, royalty-free license to use Materials for fulfilling Services.
4.3. Platform Content: All platform content and design remain the property of MBE.
4.4. Warranties: Client warrants it has the rights to provide Materials and that they don’t infringe third-party IP.

5.2. Termination by MBE: MBE may terminate immediately if the Client breaches T&Cs, fails to pay, or provides unacceptable Materials.
6.1. Client Indemnity: Client agrees to indemnify MBE from all claims arising from Client Materials or breaches of these T&Cs.
6.2. Limitation of Liability: MBE’s liability is limited to the amount paid by Client for the disputed Service in the prior six months. No liability for lost profits or indirect damages.
7.1. Governing Law: These T&Cs are governed by Connecticut law.
7.2. Force Majeure: MBE is not liable for failures beyond its control (e.g., natural disasters, terrorism, outages).
7.3. No Guarantee: MBE makes no guarantee of audience reach or conversions.
7.4. Entire Agreement: These T&Cs and any IO constitute the entire agreement between Client and MBE.
By purchasing services from Modern Building Envelope, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions of Sale.
